Concord (NH) Monthly Meeting of the Religious Society of Friends
10th Month 26, 2008
Concord (NH) Monthly Meeting gathered in Meeting for Worship for Business at the Merrimack Valley Day Care Center in Concord, NH. Friends present were Mark Barker, Kathie Mercer, Joni LaBombard, Don Booth, Lois Booth, David Freeman-Woolpert, Greg Heath (substitute recording clerk), Ruth Heath (treasurer), Sara Smith (clerk), Jay Smith.
The meeting was opened by the clerk with a period of worshipful silence.
10.8 Minutes of 10th Month 12, 2008 were approved with one correction. In the members present section, Greg Heath should have been noted as the substitute recording clerk.
10.9 Nominating Committee Report. The nominating committee presented Lois Booth, David Freeman-Woolpert, Greg Heath, Joni LaBombard, and Jay Smith as incorporators. The Meeting approved the nominating committee report.
10.10 Incorporating Concord Monthly Meeting. The role of the incorporators is to incorporate the Meeting and call the first meeting of the Corporation. We asked what is being incorporated – the Meeting or another entity to hold the property? Our attorney suggested the Corporation, under the control of the Monthly Meeting, could hold the property, thereby separating liability for it from the Meeting itself. This would result in two sets of financial accounts and records along with the need for two sets of officers and separate meetings.
The Meeting approved ending its form as an unincorporated association and becoming a New Hampshire nonprofit corporation with the understanding that all assets of the Meeting will be assets of the corporation and will be at risk as the result of actions that may result from the meeting house’s liability.
10.11 Corporate Name of the Meeting. The name of the Meeting must be clarified in order for the incorporators to act. We can also choose “Doing business as” in all the ways that we are known. Friends approved the corporate name “Concord Monthly Meeting of the Religious Society of Friends”.
10.12 By-Laws. In its By-Laws Cambridge Meeting refers all procedures to the NEYM Faith and Practice so as to simplify the By-Laws for now and for the future as Faith and Practice changes. Though taking no action Friends expressed an appreciation for this practice.
10.13 First Meeting of the Corporation. Friends agreed that the first meeting of the Corporation will be held as the Meeting’s next regularly scheduled business meeting when By-Laws will be considered, officers appointed and all other business conducted.
10.14 Dissolving the Trust. Friends agreed to dissolve the Trust established 9th Month 28, 2008.
10.15 Articles of Agreement. Friends directed the incorporators to execute the Articles of Agreement prior to the first meeting of the corporation on November 9.
